License Agreement
This License Agreement ("Agreement") governs your use of Siticone UI components and libraries. Please read this agreement carefully before using our software.
Siticone UI License Agreement
This License Agreement is a legal agreement between you (either an individual or a single entity) and Siticone UI for the software product identified above, which includes computer software and may include associated media, printed materials, and online or electronic documentation ("Software"). By installing, copying, or otherwise using the Software, you agree to be bound by the terms of this Agreement. If you do not agree to the terms of this Agreement, do not install or use the Software.
Definitions
For the purposes of this Agreement, the following terms shall have the meanings defined below:
- "Licensor" refers to Siticone UI, the owner and provider of the Software.
- "Licensee" refers to you, the individual or entity that has acquired a license to use the Software.
- "Software" refers to Siticone UI components, libraries, documentation, sample code, and all related materials provided to you.
- "Developer" refers to an individual who directly uses the Software to develop software applications.
- "Application" refers to any software program or application developed by the Licensee that incorporates or utilizes the Software.
- "End User" refers to the ultimate user of an Application that incorporates the Software.
- "Trial Version" refers to a version of the Software that is provided to you for evaluation purposes for a limited period of time.
- "License Key" refers to a unique code provided to you upon purchase that activates the Software for licensed use.
License Grant
Siticone UI offers the following license types:
1. Solo Developer
- The Licensor grants to the Licensee one (1) non-exclusive, non-transferable license for one (1) Developer to use the Software to develop Applications.
- This license permits one (1) Developer to install and use the Software on multiple computers, provided that only this Developer uses the Software.
- Applications developed using this license may be distributed to unlimited End Users without royalty payments to the Licensor.
2. Pro Duo
- The Licensor grants to the Licensee one (1) non-exclusive, non-transferable license for up to two (2) Developers to use the Software to develop Applications.
- This license permits up to two (2) Developers to install and use the Software on multiple computers, provided that no more than the licensed number of Developers use the Software.
- Applications developed using this license may be distributed to unlimited End Users without royalty payments to the Licensor.
3. Studio Edge
- The Licensor grants to the Licensee one (1) non-exclusive, non-transferable license for up to three (3) Developers to use the Software to develop Applications.
- This license permits up to three (3) Developers to install and use the Software on multiple computers, provided that no more than the licensed number of Developers use the Software.
- Applications developed using this license may be distributed to unlimited End Users without royalty payments to the Licensor.
4. Team Synergy
- The Licensor grants to the Licensee one (1) non-exclusive, non-transferable license for up to four (4) Developers to use the Software to develop Applications.
- This license permits up to four (4) Developers to install and use the Software on multiple computers, provided that no more than the licensed number of Developers use the Software.
- Applications developed using this license may be distributed to unlimited End Users without royalty payments to the Licensor.
5. Business Boost
- The Licensor grants to the Licensee one (1) non-exclusive, non-transferable license for up to six (6) Developers to use the Software to develop Applications.
- This license permits up to six (6) Developers to install and use the Software on multiple computers, provided that no more than the licensed number of Developers use the Software.
- Applications developed using this license may be distributed to unlimited End Users without royalty payments to the Licensor.
6. Enterprise Launch
- The Licensor grants to the Licensee one (1) non-exclusive, non-transferable license for up to ten (10) Developers to use the Software to develop Applications.
- This license permits up to ten (10) Developers to install and use the Software on multiple computers, provided that no more than the licensed number of Developers use the Software.
- Applications developed using this license may be distributed to unlimited End Users without royalty payments to the Licensor.
7. Innovation Suite
- The Licensor grants to the Licensee one (1) non-exclusive, non-transferable license for up to fifteen (15) Developers to use the Software to develop Applications.
- This license permits up to fifteen (15) Developers to install and use the Software on multiple computers, provided that no more than the licensed number of Developers use the Software.
- Applications developed using this license may be distributed to unlimited End Users without royalty payments to the Licensor.
8. Global Enterprise
- The Licensor grants to the Licensee one (1) non-exclusive, non-transferable license for up to twenty-five (25) Developers to use the Software to develop Applications.
- This license permits up to twenty-five (25) Developers to install and use the Software on multiple computers, provided that no more than the licensed number of Developers use the Software.
- Applications developed using this license may be distributed to unlimited End Users without royalty payments to the Licensor.
9. Trial License
- The Licensor grants to the Licensee a limited, non-exclusive, non-transferable license to use the Trial Version for evaluation purposes only.
- The Trial License is valid for thirty (30) days from the date of installation or activation.
- Applications developed using the Trial Version may not be distributed to End Users or used in a production environment.
All licenses include access to updates and support for a period of one (1) year, or perpetual, from the date of purchase. After this period, the UI Library may disable itself and ask for a renewal activation, upon which the Licensee will not receive updates or support unless a renewal plan is purchased. For perpetual licensees, will continue to work forever and receive updates, upgrades and premium support forever.
License Restrictions
The Licensee shall not, and shall not permit others to:
- Modify, translate, reverse engineer, decompile, disassemble, or create derivative works based on the Software, except to the extent that such activity is expressly permitted by applicable law.
- Distribute, sublicense, lease, rent, loan, or otherwise transfer the Software to any third party, except as expressly permitted under this Agreement.
- Remove or alter any proprietary notices, labels, or marks on the Software or its documentation.
- Use the Software to develop products that compete directly with Siticone UI.
- Incorporate the Software into a product that is offered as a development framework, library, or toolkit for other developers, without prior written agreement from the Licensor.
- Share license keys or enable unauthorized access to the Software.
- Use the Trial Version in a production environment or beyond the evaluation period.
- Distribute or sublicense the Software as part of an OEM or redistributable component library without a separate OEM license from the Licensor.
- Publicly disclose performance information or analysis (including benchmarks) relating to the Software without the Licensor's prior written consent.
Any use of the Software in violation of these restrictions is unauthorized and may result in automatic termination of this Agreement.
Intellectual Property Rights
All title, ownership rights, and intellectual property rights in and to the Software shall remain with the Licensor. The Software is protected by copyright laws and international treaty provisions. The Licensee acknowledges the following:
- The Software contains proprietary and confidential information that is protected by intellectual property laws and treaties.
- The Licensor owns all right, title, and interest in and to the Software, including without limitation all intellectual property rights therein.
- This Agreement does not grant the Licensee any rights to trademarks, service marks, trade names, logos, or product names of the Licensor.
- The Licensee may not remove, alter, or obscure any proprietary notices or labels on the Software or its documentation.
- The Licensee is granted only those rights expressly set forth in this Agreement; all other rights are reserved by the Licensor.
The Licensee retains all rights, title, and interest in and to the Applications developed using the Software, subject to the Licensor's rights in the underlying Software.
Term and Termination
Term:
- This Agreement remains in effect until terminated as provided herein.
- For perpetual licenses, the right to use the Software continues indefinitely, subject to compliance with this Agreement.
- For Trial Licenses, this Agreement automatically terminates at the end of the trial period.
- Access to updates and support is provided for one (1) year, or perpetual, from the date of purchase, unless extended through a renewal plan.
Termination:
- The Licensor may terminate this Agreement if the Licensee breaches any of its terms and conditions.
- Upon termination, the Licensee must cease all use of the Software and destroy all copies of the Software in its possession or control.
- The Licensee may terminate this Agreement at any time by ceasing all use of the Software and destroying all copies.
- Termination of this Agreement does not entitle the Licensee to a refund of any license fees paid.
Survival:
- The sections titled "Intellectual Property Rights," "Warranty Disclaimer," "Limitation of Liability," and "General Provisions" shall survive termination of this Agreement.
- End Users' right to use Applications developed with the Software shall survive termination of this Agreement, provided that the Applications were distributed prior to termination.
Upon termination, the Licensee must certify in writing to the Licensor that all copies of the Software have been destroyed or removed from its systems.
Warranty Disclaimer and Limitation of Liability
Warranty Disclaimer:
- THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
- THE LICENSOR DOES NOT WARRANT THAT THE SOFTWARE WILL MEET THE LICENSEE'S REQUIREMENTS OR THAT THE OPERATION OF THE SOFTWARE WILL BE UNINTERRUPTED OR ERROR-FREE.
- THE LICENSEE ASSUMES THE ENTIRE RISK AS TO THE QUALITY AND PERFORMANCE OF THE SOFTWARE.
- NO ORAL OR WRITTEN INFORMATION OR ADVICE GIVEN BY THE LICENSOR OR ITS AUTHORIZED REPRESENTATIVES SHALL CREATE A WARRANTY OR IN ANY WAY INCREASE THE SCOPE OF THIS WARRANTY.
Limitation of Liability:
- IN NO EVENT SHALL THE LICENSOR BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES (INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION, OR ANY OTHER PECUNIARY LOSS) ARISING OUT OF THE USE OR INABILITY TO USE THE SOFTWARE, EVEN IF THE LICENSOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
- THE LICENSOR'S ENTIRE LIABILITY UNDER ANY PROVISION OF THIS AGREEMENT SHALL BE LIMITED TO THE AMOUNT ACTUALLY PAID BY THE LICENSEE FOR THE SOFTWARE.
- BECAUSE SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, THE ABOVE LIMITATION MAY NOT APPLY TO THE LICENSEE.
The Licensee acknowledges that the license fee reflects the allocation of risk set forth in this Agreement and that the Licensor would not enter into this Agreement without these limitations on its liability.
General Provisions
Governing Law:
- This Agreement shall be governed by and construed in accordance with the laws of The Republic of Zimbabwe, without giving effect to any principles of conflicts of law.
- Any dispute arising out of or related to this Agreement shall be subject to the exclusive jurisdiction of the courts of The Republic of Zimbabwe.
Export Regulations:
- The Licensee agrees to comply with all applicable international and national laws that apply to the Software, including the U.S. Export Administration Regulations, as well as end-user, end-use, and destination restrictions issued by U.S. and other governments.
U.S. Government Restricted Rights:
- If the Software is licensed to or for the U.S. Government, the Software is provided with RESTRICTED RIGHTS as defined in subparagraph (c)(1)(ii) of The Rights in Technical Data and Computer Software clause at DFARS 252.227-7013, or subparagraphs (c)(1) and (2) of the Commercial Computer Software - Restricted Rights at 48 CFR 52.227-19, as applicable.
Entire Agreement:
- This Agreement constitutes the entire agreement between the parties with respect to the use of the Software and supersedes all prior or contemporaneous understandings or agreements, written or oral, regarding such subject matter.
- No amendment to or modification of this Agreement will be binding unless in writing and signed by the Licensor.
Severability:
- If any provision of this Agreement is held to be unenforceable or invalid, such provision shall be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions shall continue in full force and effect.
Waiver:
- No failure or delay by either party in exercising any right under this Agreement will constitute a waiver of that right.
Assignment:
- The Licensee may not assign or transfer this Agreement or any rights or obligations hereunder, without the prior written consent of the Licensor. Any attempted assignment in violation of this section shall be void.
- The Licensor may assign this Agreement without restriction.
By installing, copying, or otherwise using the Software, the Licensee acknowledges that they have read this Agreement, understand it, and agree to be bound by its terms and conditions.
